Terms and Conditions

VocabWala is owned and operated by Async Technologies ("VocabWala", "Company", "we", "our", or "us").

These Terms and Conditions ("Terms") govern your access to and use of our mobile application, digital products, learning tools, content experiences, and all related services ("Platforms" and "Services").

By accessing or using the Platforms or Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms apply whether or not you create an account with us.

If you do not agree with these Terms, please discontinue use of the Platforms and Services immediately.

1. Definitions

For the purpose of these Terms:

Content

Includes text, word definitions, examples, quizzes, videos, images, or any other form of media available on the Platforms.

VocabWala Content

All Content available on or through our Platforms that is owned by us or licensed to us, including word entries, definitions, example sentences, quizzes, learning exercises, curated word collections, and any other material generated or compiled by VocabWala. This does not include third-party content such as YouTube videos, which remain the property of their respective owners.

VocabWala Parties

Async Technologies, its affiliates, directors, employees, officers, agents, advisors, contractors, licensors, and partners.

User

Any natural person accessing the Platforms or using the Services, whether registered or unregistered.

User Content

Any content submitted, posted, input, or shared by the User, including feedback, profile information, or messages sent to us.

Services

All features provided by VocabWala including (but not limited to):

  • Daily words and personalised word feed
  • Word definitions, examples, and video-based learning
  • Quizzes and recall practice
  • Favourites and learning history
  • Learning streaks and progress tracking
  • Home screen widget
  • User profile and preferences
  • Paid subscriptions and premium features
  • Any future features added

2. Eligibility

You may use VocabWala only if:

  • You are 13 years of age or above
  • If below 18, you have obtained consent from your parent or legal guardian
  • You are legally competent to enter into a binding contract
  • Your access does not violate any applicable law
  • You have not been suspended or barred from using the Services previously

VocabWala assumes all minors using the Platform have obtained parental consent.

We are not responsible for misuse of Services by minors or persons who provide incorrect age information.

3. Acceptance of Policies

By using the Platforms:

  • You agree to our Privacy Policy and all other policies displayed on the Platforms
  • You consent to receive communication via email or app notifications related to our Services
  • You agree to Additional Terms applicable to specific Services (e.g., paid plans, premium features)

Where any conflict exists between these Terms and Additional Terms, the specific Additional Terms shall prevail.

4. Registration & Account Responsibilities

Certain features require you to create an account.

You agree that:

  • All information provided is accurate and current
  • You will maintain the confidentiality of your account and login credentials
  • All activity under your account is your responsibility
  • You will notify us immediately of any unauthorised access

You may not:

  • Create more than one active account
  • Create an account on behalf of someone else
  • Share account access with others

We may suspend or terminate your account for violations.

5. Use of Third-Party Login (Google / Apple / etc.)

If you log in using a third-party provider ("3P Site"):

  • You authorise VocabWala to access information from that 3P Site as permitted by their policies
  • You are responsible for managing your 3P Site privacy settings
  • Disruptions or termination of 3P Site services may affect your access to VocabWala
  • VocabWala is not responsible for any inaccuracies or interruptions caused by 3P Site failures

6. YouTube Content

VocabWala uses embedded YouTube videos to help you learn words through real-world usage. These videos are streamed directly from YouTube using YouTube's embedded player and YouTube API Services; they are not hosted, downloaded, or modified by us.

By using the video features of the app, you agree to be bound by the YouTube Terms of Service, available at https://www.youtube.com/t/terms. Your interaction with YouTube content is also subject to the Google Privacy Policy, available at https://www.google.com/policies/privacy.

You further acknowledge that:

  • All YouTube videos remain the property of their respective creators and owners; VocabWala claims no ownership over them
  • Videos are displayed for educational and informational purposes through YouTube's officially supported embedded player
  • VocabWala does not control the availability, accuracy, or content of YouTube videos; videos may become unavailable at any time if removed or restricted by their owners or YouTube
  • You may not use the app to download, rip, or store YouTube videos, or to circumvent YouTube's player, advertisements, or technical restrictions
  • Any concerns regarding a specific video's content should be directed to YouTube or reported to us at support@vocabwala.com

7. Conduct Rules: What You Must NOT Do

You agree NOT to:

A. Legal and Technical Violations

  • Break any applicable law
  • Attempt to hack, bypass, or disrupt our systems
  • Introduce malware, viruses, bots, or automated scripts
  • Scrape, crawl, or duplicate VocabWala Content
  • Reverse-engineer or copy our software or proprietary algorithms

B. Misuse of VocabWala Content

  • Share, distribute, or sell VocabWala Content for commercial purposes
  • Access paid or restricted areas without authorisation
  • Misrepresent or plagiarise word content, quizzes, or other VocabWala Content
  • Publish or redistribute VocabWala's proprietary material without permission

C. Harassment & Abuse

  • Post abusive, obscene, illegal, defamatory, or hateful content
  • Impersonate other users or VocabWala staff

D. Intellectual Property Violations

Do not upload or share content that:

  • Belongs to someone else without permission
  • Violates copyright, privacy, or proprietary rights
  • Includes misleading, false, or harmful information

E. Misuse of Third-Party Content

  • Download, extract, or redistribute YouTube videos or other embedded third-party content
  • Circumvent restrictions imposed by YouTube or other third-party services

Violation of these rules may lead to account deactivation and legal action.

8. Payments, Subscriptions & Refunds

A. Pricing

  • All prices shown at the time of purchase will be honoured
  • Applicable taxes may apply as per law
  • Prices for recurring plans may change upon renewal with prior notice

B. Payments

  • Purchases and subscriptions are processed through the app store (Google Play or Apple App Store) and their associated payment systems
  • You authorise the applicable store to charge your saved payment method for subscriptions
  • Failure to complete payments may result in restricted access or account termination

C. Cancellations

  • Cancelling a subscription stops future renewals
  • Subscriptions must be cancelled through your Google Play or Apple App Store account settings
  • Access continues until the end of the current billing cycle
  • No refunds unless stated under the Refund Policy or required by the applicable app store's policies

D. Refunds

Refunds for purchases made through Google Play or the Apple App Store are governed by the respective store's refund policies, in addition to any refund policy displayed on the Platforms.

9. Intellectual Property Rights

VocabWala owns all:

  • VocabWala Content, including word compilations, quizzes, and learning exercises
  • Tools and software
  • Designs, logos, and branding
  • Product experiences and UX flows

Users receive a personal, non-commercial, limited licence to use the Content.

Third-party content, including YouTube videos, remains the property of its respective owners and is subject to their terms and licences.

Attribution

If a User publicly shares or publishes VocabWala-derived content, the User must credit VocabWala unless explicitly waived in writing.

10. User Content

By submitting feedback or any other content through the Platforms, you grant VocabWala a worldwide, royalty-free, transferable licence to:

  • Use and process
  • Improve our Services
  • Display in anonymised or aggregated form for product improvement

We do not claim ownership over your submissions.

You are responsible for ensuring your content does not violate any law or third-party rights.

11. Third-Party Services

VocabWala uses third-party tools for authentication, payments, analytics, video playback (YouTube), and content delivery.

Use of these services is governed by their respective policies, including the YouTube Terms of Service and Google Privacy Policy for embedded video content.

VocabWala is not responsible for third-party failures, outages, or data handling issues.

12. Termination

VocabWala may suspend or terminate your account if:

  • You violate these Terms
  • You misuse the Services
  • You engage in harmful or fraudulent behaviour

You may stop using the Services at any time by deleting your account.

Upon termination:

  • Certain obligations survive (intellectual property, privacy, dispute resolution, etc.)
  • No refunds are provided unless required by law

13. Disclaimer of Warranties

VocabWala is provided on an "as is" and "as available" basis.

We do NOT guarantee:

  • Error-free operation
  • Perfect accuracy or completeness of word definitions, examples, or learning content
  • Continued availability of any embedded YouTube video
  • Uninterrupted access
  • Freedom from bugs or security vulnerabilities

All decisions made based on content accessed through VocabWala are the User's own responsibility.

14. Limitation of Liability

To the fullest extent permitted by law, VocabWala and its Parties will NOT be liable for:

  • Loss of data
  • Lost profits or business opportunities
  • Damages arising from reliance on learning content
  • Loss caused by third-party service failures, including YouTube or app store outages
  • Any indirect, incidental, or consequential damages

Total liability (if any) is limited to the amount paid by the User in the last 12 months.

15. Indemnification

You agree to indemnify and hold harmless VocabWala and VocabWala Parties from losses arising due to:

  • Violation of these Terms
  • Misuse of the Platforms
  • Unlawful use of Content
  • Intellectual property violations
  • Misrepresentation of identity or information

This obligation survives termination of your account.

16. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be referred to binding arbitration in Moradabad, UP, India, in accordance with the Arbitration and Conciliation Act, 1996. The language of arbitration shall be English. Subject to arbitration, the courts at Moradabad, UP, India shall have exclusive jurisdiction.

All complaints will be addressed within 15 days of receipt.

User notices will be sent to the email or phone number provided during registration.

18. Miscellaneous

  • No waiver: Failure to enforce any clause does not waive our rights under these Terms
  • Severability: If any clause is found invalid, the remaining Terms continue in full effect
  • Assignment: Users cannot assign their rights; VocabWala may assign its rights and obligations
  • Modifications: These Terms may be updated at any time with notice provided through the app or email
